Terms & Conditions

Last updated 28 September 2026

These terms apply to every project OmarStudio takes on. Please read them before you accept a proposal.

1. Who we are

OmarStudio is the trading name of Omar Abbas, a self-employed sole trader based in London, United Kingdom. In these terms, “we”, “us” and “our” mean OmarStudio. “You” means the client named in the proposal.

2. How these terms apply

  1. Our agreement with you is made up of the proposal (or quotation) and these terms. Together, we call them “the Agreement”.
  2. If the proposal and these terms say different things, the proposal wins.
  3. You accept the Agreement when you do any of the following: sign the proposal, confirm it in writing (email or message is fine), or pay the first invoice.
  4. Anything not written in the proposal is outside the scope of the project. Verbal agreements don’t count until one of us confirms them in writing.
  5. These terms are written for business clients. If you’re buying as an individual for personal use, you’re a consumer, and your statutory rights under UK law aren’t affected by anything here.

3. Quotes and starting work

  1. Quotes and proposals are valid for 30 days from the date we send them.
  2. We book your project slot and start work only once your first payment has cleared in our account.
  3. Start dates and deadlines depend on you paying on time and sending content and feedback on time (see section 6).
  4. Urgent or rushed work, if we agree to it, carries a rush fee set out in the proposal.

4. Fees and payment

All fees are in pounds sterling (GBP) unless the proposal says otherwise. We offer two payment structures, and the proposal states which one applies.

StructureFirst paymentSecond paymentFinal payment
Option A (standard)50% before work starts50% once you approve the final versionNone
Option B (larger projects)50% before work starts25% at the milestone named in the proposal25% once you approve the final version
  1. For Option B, the proposal defines the milestone. Examples: you choose your logo direction; the first language of your website is built and approved, before it moves to your server; you receive the first draft of a strategy or consultancy report.
  2. Before the final payment, you review and approve the work through previews, which may be watermarked, low resolution or hosted on our own server.
  3. Final files, source files and website handover are released only after the final payment has cleared in full.
  4. Invoices are due within 14 days of the invoice date, unless the invoice says otherwise.
  5. You pay any bank, transfer, card or currency conversion fees, so that we receive the full invoiced amount.
  6. Fees are paid in full without any deduction. If the law in your country requires you to withhold tax from our payment, you’ll increase the payment so that we still receive the full invoiced amount.
  7. Third-party costs such as fonts, stock images, plugins, software licences, domains, hosting, printing and paid advertising are not included in our fees unless the proposal says so. We’ll agree them with you first, and you pay them directly or we invoice them at cost.

5. Late payment and non-payment

  1. If a payment is late, we may pause all work on your project until it’s paid. Any deadlines move by at least the length of the pause.
  2. For business clients, we may charge statutory interest and fixed compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
  3. We may withhold files, handover, logins and deliverables until every invoice is paid in full.
  4. Ownership of the work never passes to you while any invoice remains unpaid (see section 11).
  5. If you raise a chargeback or payment dispute without first raising the issue with us in writing and giving us 14 days to resolve it, you’re in breach of the Agreement. We may end the project and recover the amount in dispute plus any reasonable costs of collecting it.

6. Your responsibilities

  1. You’ll send the content, information, access and feedback we need, on time and in the format we ask for.
  2. You’ll name one person to give feedback and approvals. Feedback from anyone else doesn’t count as a revision request until that person confirms it.
  3. You confirm that you own, or have permission to use, everything you give us: text, images, logos, data and trademarks. If a third party makes a claim because of something you supplied, you’re responsible for it.
  4. Before you use or register a logo, name or brand, you’re responsible for checking that it doesn’t infringe anyone else’s trademark in the countries where you’ll use it. We recommend a trademark search by a qualified adviser.
  5. You’re responsible for checking final work for accuracy before approving it, including spelling, prices, legal wording, contact details and claims. Once you approve it, correcting errors counts as extra work.
  6. You’re responsible for making sure your marketing, website and content comply with the laws of the countries where you use them.

7. Revisions and extra work

  1. The number of revision rounds is set out in the proposal. Unless it says otherwise: reduced-scope packages include 2 rounds, and full-price projects include 3 rounds per deliverable.
  2. One revision round is one consolidated list of feedback, sent in one message. Separate emails sent over several days count as separate rounds.
  3. Revisions are adjustments to the approved direction. A new direction, a new concept or a change to the brief after approval is not a revision. It’s extra work.
  4. Unused revision rounds don’t roll over to other deliverables or projects, and they expire 30 days after we deliver the stage they belong to.
  5. Extra work is anything outside the proposal, including extra revision rounds. We charge it per hour or per task at the rate stated in the proposal. We’ll confirm the cost in writing before we start, and we start once you’ve approved it.

8. Timelines, approvals and delays

  1. Timelines in the proposal are estimates. They depend on you sending feedback within 5 working days of each delivery.
  2. Approval can be given in writing, including by email or message. If you haven’t replied within 10 working days of a delivery, that stage counts as approved, and any payment linked to it becomes due.
  3. If you delay the project, the timeline moves by at least the length of the delay. It then depends on our availability.
  4. If we hear nothing from you for 30 days, we’ll pause the project. We may invoice for all work completed to date, including a proportion of the next milestone.
  5. If we hear nothing for 60 days, the project closes. All work completed to date becomes payable, and restarting it needs a new proposal and fee.
  6. Payments already made on a paused or closed project are not refunded.

9. Delivery and file storage

  1. Once the final payment clears, we deliver the files listed in the proposal through a cloud link, such as Google Drive, OneDrive or WeTransfer.
  2. Editable source files (for example Adobe Illustrator, Figma or layered files) are included only if the proposal lists them.
  3. Download the files and keep your own backup as soon as you receive them. The link stays available for 12 months from delivery.
  4. After 12 months, we may delete the files and any project materials. We don’t guarantee we can recover them after that.
  5. Within the 12 months, you can ask for a new link at any time by emailing [email protected]. After the 12 months, we’ll try to help, but we may charge an admin fee, and we can’t promise the files still exist.

10. Cancellation and refunds

If you’re a business client

  1. Your first payment reserves your project slot and covers planning and early work. It’s non-refundable once paid.
  2. If you cancel after work has started, every invoice already issued stays payable. You also pay for any work completed since your last payment, either as a share of the next milestone or at the hourly rate in the proposal, whichever is higher. You never pay less than the first payment.
  3. Stages you’ve approved and work that’s been delivered are not refundable.
  4. Refunds aren’t given because of a change of mind, a change of direction, or not liking a creative style after approving the direction. Revisions within the agreed rounds are how we put things right.

If you’re a consumer (buying as an individual, for personal use)

  1. UK law gives you 14 days from accepting the Agreement to cancel it.
  2. If you ask us to start work within those 14 days and then cancel, you pay for the work completed up to the point you told us you were cancelling. We refund the rest.
  3. Once the service is fully completed within the 14 days, you lose the right to cancel.
  4. After the 14 days, points 1 to 4 above apply to you as well, as far as the law allows.

If we cancel

  1. If we can’t continue your project for a reason on our side, we refund any payment for work we haven’t yet started. That’s the full extent of our responsibility.
  2. If we end the project because you’ve broken the Agreement (for example by not paying, going silent, or being abusive), point 2 applies and no refund is due.

How refunds are paid

  1. Any refund due is paid within 14 days, by the same method you paid. For business clients, the refund is reduced by any transaction, transfer or currency fees we paid.

11. Ownership of the work

  1. Until every invoice for the project is paid in full, we own all the work, and you may not use it publicly or commercially.
  2. Once everything is paid, the rights in the final approved deliverables transfer to you.
  3. Concepts, sketches, drafts and options you didn’t choose stay ours. We may reuse or adapt them for other work.
  4. Fonts, stock images, plugins, templates and other third-party items are licensed to you under their own terms. They’re not owned by you or by us.
  5. We keep ownership of our own methods, frameworks, templates, know-how and tools, including anything we used before or outside your project.

12. Portfolio and credit

  1. We may show the work in our portfolio, on our website, on social media, in case studies, in award entries and in pitches, after it’s publicly launched.
  2. If you don’t want us to show the work, you must tell us in writing before the project starts. We’ll then keep it private, and the proposal will note that.
  3. If you need a confidentiality or non-disclosure agreement, send it before the project starts. We’ll sign it where it’s reasonable.
  4. For website projects, we may place a small “Designed by OmarStudio” credit in the site footer. You can ask us to remove it at any time.

13. Our team

  1. We work with a trusted network of specialists across the UK, Europe and the Middle East, such as designers, developers, copywriters and translators.
  2. We choose who works on your project. OmarStudio stays fully responsible for their work and is your only point of contact.
  3. Everyone who works on your project is bound by the same confidentiality as we are.
  4. You agree not to hire or contract directly any specialist introduced to you through our project, for 12 months after the project ends, without our written agreement.

14. Confidentiality and data

  1. We keep your confidential business information private. We use it only to deliver your project, unless the law requires us to disclose it.
  2. This doesn’t cover information that’s already public, or that you’ve approved for publication.
  3. We handle personal data in line with UK data protection law and our Privacy Policy.
  4. If your project means we process personal data on your behalf (for example, customer lists or website form data), you’re responsible for having a lawful basis to share it with us.

15. Results and liability

  1. We bring skill, care and 11+ years of experience to every project. Marketing and brand results depend on many things outside our control, such as your market, budget, product, pricing, sales team and timing. So we don’t guarantee specific outcomes, such as sales, leads, rankings, traffic, followers or revenue.
  2. Our total liability for any claim connected with a project is limited to the fees you’ve paid us for that project.
  3. We’re not liable for indirect or consequential loss, including loss of profit, revenue, business, data or reputation.
  4. We’re not liable for problems caused by third-party services (hosting, plugins, platforms, printers or advertising networks), by changes you or others make to our work, or by content you supplied.
  5. Nothing in these terms limits liability that can’t be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.
  6. You must raise any complaint about the work in writing within 14 days of delivery, so we can put it right.

16. Website projects

  1. After launch, we fix bugs in the work we built, free of charge, for 30 days. A bug is something that doesn’t work as agreed in the proposal.
  2. This doesn’t cover changes you or others make, new features, content updates, or problems caused by hosting, plugin or platform updates.
  3. Hosting, domains, security, backups, updates and ongoing maintenance are your responsibility unless we agree a separate maintenance plan.
  4. We move a website to your server, and hand over logins, only after the final payment has cleared.

17. Ending the Agreement

  1. We may end the Agreement straight away by writing to you if you don’t pay an invoice within 14 days of its due date, break these terms and don’t put it right within 7 days of us asking, behave abusively towards us or our team, or ask us to do something unlawful or unethical.
  2. If we end the Agreement for any of these reasons, section 10 point 2 applies.
  3. Sections 5, 9, 11, 12, 14, 15 and 18 keep applying after the Agreement ends.

18. Events outside our control

Neither of us is responsible for delays or failures caused by events outside our reasonable control, such as illness, natural disasters, war, internet or power outages, or platform failures. If this lasts more than 60 days, either of us can end the Agreement, and you pay for the work completed up to that point.

19. Disputes and governing law

  1. If there’s a disagreement, we’ll both try to resolve it in good faith for 30 days before taking any other action.
  2. The Agreement is governed by the law of England and Wales, for all clients, wherever they’re based.
  3. The courts of England and Wales have exclusive jurisdiction.

20. Changes to these terms

We may update these terms from time to time. The version that applies to your project is the one live on this page on the date you accepted the proposal.
